What HeroDeals Is

HeroDeals is a private network created to help veterans, military members, their families and other authorized users connect with businesses, professionals, products, services, experiences, resources and other people who may be able to help them.

A core part of HeroDeals is the personal introduction. A user may tell HeroDeals what they need. HeroDeals may learn more about the request, identify one or more potentially appropriate businesses or professionals, and make an introduction.

What HeroDeals Is Not

Unless HeroDeals expressly states otherwise in writing for a particular transaction, HeroDeals is not the provider of the goods or services offered by independent businesses or professionals in the network.

Depending on the type of introduction, the independent business may be a contractor, retailer, restaurant, realtor, lender, mortgage professional, insurance professional, automotive business, professional service provider or another type of business or professional.

HeroDeals does not become a party to your separate agreement with an independent business merely because HeroDeals made the introduction.

Eligibility

HeroDeals is primarily designed to serve veterans, active-duty military members, members of the military community and their families.

HeroDeals may establish, modify or apply eligibility standards for particular programs, benefits, offers, introductions or network participation.

Certain offers provided by independent businesses may have additional eligibility rules, exclusions, limitations or verification requirements established by that business.

You are responsible for providing accurate information when eligibility or military status is relevant to a request.

HeroDeals Introductions

HeroDeals may make introductions based on information provided by you, information known about participating businesses, service region, timing, stated needs and other relevant considerations.

When a hero reaches out, HeroDeals may ask questions to understand the request, such as what is needed, what matters most and what the hero is prepared to spend. HeroDeals uses its own judgment about whether, when and to whom to make an introduction. HeroDeals may decline to make an introduction for any reason.

Introductions are usually made by text message, often in a group text that includes the hero, the Partner and HeroDeals. After the introduction, the hero and the Partner communicate and do business directly.

An introduction is not a guarantee that the business will meet every need, offer the lowest price, be available, complete a transaction or produce a particular result. Information HeroDeals shares about a hero’s needs, budget or readiness is based on what the hero said and is not a promise that the hero will buy.

You Are Never Required To Buy

Receiving an introduction does not require you to purchase anything, sign an agreement, hire the business, use the service or continue the conversation. You remain free to evaluate your options and make your own decision.

Businesses Are Not Guaranteed Customers

A HeroDeals Partner is not guaranteed any number of introductions, or that an introduction will result in a sale, contract, appointment, customer or other transaction. The Partner remains responsible for earning the person’s business.

Independent Businesses and Professionals

Businesses and professionals participating in HeroDeals are generally independent businesses and independent professionals.

Unless expressly agreed otherwise in writing, participation in HeroDeals does not create an employment relationship, partnership, joint venture, franchise, agency, fiduciary relationship or other similar relationship between HeroDeals and a participating business.

Independent businesses are responsible for their own:

• Products and services.
• Prices and estimates.
• Contracts and agreements.
• Employees and representatives.
• Licenses and professional credentials.
• Insurance.
• Taxes.
• Warranties.
• Customer service.
• Workmanship.
• Regulatory compliance.
• Legal obligations.

HeroDeals Does Not Guarantee The Lowest Price

HeroDeals is built to help military and veteran families find strong value, good service and trusted relationships.

However, unless a particular offer expressly states otherwise, HeroDeals does not guarantee that a Partner's price is the lowest price available in the market.

Prices, discounts, promotions, financing, availability and market conditions can change.

Independent businesses are responsible for the accuracy and availability of the offers they provide.

No Guarantee of Results

HeroDeals does not guarantee any particular outcome from using the network.

This includes, without limitation, any guarantee of:

• A particular amount of savings.
• The lowest available price.
• A particular level of customer service.
• Product availability.
• Service availability.
• Approval for financing, insurance or another regulated product.
• Completion of a transaction.
• A particular professional outcome.
• A particular number of introductions for a Partner.
• A particular number of customers for a Partner.
• Sales, revenue, profit or return on investment for a Partner.

Any examples, testimonials, savings stories, customer stories or hypothetical financial examples are illustrative and do not guarantee that another person or business will receive the same result.

Partner Applications and Selection

Businesses and professionals may be required to complete an assessment, application, conversation or other review process before participating as a HeroDeals Partner.

Completing an assessment or application does not guarantee acceptance.

HeroDeals may consider factors such as:

• Character.
• Professionalism.
• Service quality.
• Responsiveness.
• Value offered to veterans and military families.
• Industry.
• Service area.
• Existing network coverage.
• Reputation.
• Ability to serve HeroDeals users.
• Overall fit with the HeroDeals network.

HeroDeals reserves the right, subject to applicable law and any separate written agreement, to accept or decline a prospective Partner.

Partner Plans and Fees

HeroDeals currently offers three paid Partner plans. Each plan covers one category in one HeroDeals service region, as shown on the HeroDeals regions map.

Fees are for 12 months of participation in the HeroDeals Partner network for the approved plan, category and service region. HeroDeals does not charge Partners commissions, per-lead fees or a percentage of any sale.

What Each Plan Does and Does Not Include

• Only Referral Partners and Featured Partners are eligible to receive personal introductions from HeroDeals. A Basic listing is a listing only.
• A Featured placement is a placement on the HeroDeals website. It does not buy introductions. HeroDeals always introduces the Partner it believes is the best fit for the hero, which may be a Referral Partner instead of the Featured Partner.
• Badges such as Responds Fast and Top Rated are earned and may be added or removed by HeroDeals based on performance. They are not guaranteed by any plan.
• Plan features may be added, changed or removed over time. HeroDeals will not remove a core feature of your plan during your current term without offering a reasonable substitute.

Review Requests for Featured Partners

If a Featured Partner asks HeroDeals to send review requests to the Partner's customers, the Partner confirms it has the customer's permission to be contacted for that purpose and that the customer list is accurate. HeroDeals will not send fake reviews, write reviews for a Partner, or offer anything of value in exchange for a positive review. Google reviews shown on a profile come from Google and are the opinions of the people who wrote them.

Qualifying retail businesses may be permitted to participate in a separate free Retail program. Retail eligibility is determined by HeroDeals. Service businesses, contractors, commissioned sales professionals and similar businesses generally do not qualify for the free Retail program.

Partner Term and Renewal

Each paid Partner term lasts 12 months from the date payment is received, unless your checkout or a separate written agreement says otherwise.

If your checkout states that your Partner fee renews automatically, it will renew for another 12 months at the then-current rate shown to you unless you cancel before the renewal date. You may cancel future renewals at any time by texting or emailing HeroDeals. Cancelling stops the next renewal. It does not end or refund the current term.

If your checkout does not say it renews automatically, your participation ends at the end of the 12-month term unless you pay to renew.

Changing Plans

You may move up to a higher plan at any time, but only if a spot in that plan is open in your category and region. When you move up, you pay the difference as shown at checkout. You may move down to a lower plan only at renewal. Moving down does not create a refund or credit for the current term.

All Fees Are Final. No Refunds.

All Partner fees are fully earned when paid and are non-refundable. No refund, partial refund, prorated refund or credit will be given for any reason, including if:

• You receive few or no introductions.
• An introduction does not turn into a sale.
• You change your mind, cancel or stop participating.
• Your business closes, moves, sells or changes its services.
• Your category, region or state receives less demand than you expected.
• HeroDeals changes its website, pages, regions, methods or tools.
• HeroDeals suspends or removes you for breaking these Terms or the Partner Pledge.

By paying a Partner fee, you agree to this no-refund policy and agree not to dispute or reverse an authorized charge with your bank or card company. If you believe a charge was made in error, contact HeroDeals first so it can be reviewed.

This section applies to the fullest extent permitted by law. If a law that cannot be waived requires a refund in a specific situation, only the minimum refund that law requires will be given.

Partner Responsibilities and the Partner Pledge

A HeroDeals Partner is expected to conduct business professionally and treat HeroDeals users fairly and respectfully.

Partners are responsible for ensuring that information they provide to HeroDeals or HeroDeals users is accurate.

Partners are also responsible for complying with laws, regulations, licensing requirements, professional rules and industry requirements applicable to their businesses.

Every Partner must agree to the HeroDeals Partner Pledge before applying. The Partner Pledge is part of these Terms. It includes treating every hero like family, giving best value and best service, reaching out fast, being honest, making things right, protecting the hero’s information and accepting follow-up from HeroDeals.

When HeroDeals texts you an introduction, you agree to respond promptly and to contact the hero only about the request they made. You may not add a hero to a marketing list, or send them marketing calls or texts, unless the hero gives you their own separate consent as required by law.

A Partner must not:

• Misrepresent prices, discounts, qualifications, products or services.
• Misrepresent its relationship with HeroDeals.
• Claim HeroDeals guarantees or endorses a result that HeroDeals has not guaranteed.
• Use a HeroDeals introduction for an unrelated purpose without appropriate permission.
• Sell or improperly distribute personal information received through an introduction.
• Engage in deceptive, abusive, discriminatory, fraudulent or unlawful conduct.
• Spam, harass or improperly solicit HeroDeals users.

Service Regions and Partner Limits

HeroDeals divides each state into service regions made of whole counties. The current regions are shown on the HeroDeals regions map. Your approved region or state is the one confirmed to you when you are accepted.

HeroDeals currently intends to limit each category in each service region to one Featured Partner and two Referral Partners, subject to network needs, Partner performance and other factors. Basic listings are not limited.

Spots are filled in the order Partners are approved and paid. A business that wants a spot that is already taken may be placed on a waiting list. If a spot opens, HeroDeals may offer it to the waiting list in the order HeroDeals chooses.

HeroDeals may update region lines over time. If a change affects your approved region, HeroDeals will keep the counties you were approved for during the rest of your current term, unless you agree otherwise.

Holding the Featured placement means no other business can hold the Featured placement in that category and region during your term. Unless HeroDeals agrees otherwise in a separate signed writing, participation in any plan does not grant a Partner an exclusive territory, exclusive category, exclusive right to introductions or a guaranteed share of opportunities. HeroDeals chooses which Partner to introduce based on what it believes is the best fit for the hero.

Removal or Suspension of Partners

HeroDeals is built around trust. Subject to applicable law and any separate written agreement, HeroDeals may suspend, limit or end a Partner's participation when HeroDeals determines, in its sole judgment, that continued participation is not appropriate for the network.

Reasons may include, without limitation:

• Poor treatment of HeroDeals users.
• Serious or repeated complaints.
• Misrepresentation.
• Fraud or suspected fraud.
• Unprofessional conduct.
• Failure to honor a represented HeroDeal or offer.
• Loss of required licensing or authority.
• Improper use of personal information.
• Misuse of the HeroDeals name or brand.
• Conduct that may harm veterans, military families, HeroDeals users, other Partners or the reputation of the network.

Breaking the Partner Pledge is grounds for immediate removal. If a Partner is suspended or removed, no refund or credit of any Partner fee will be given (see Section 11).

Vouches, Reviews, Complaints and Feedback

HeroDeals may receive feedback, reviews or complaints concerning participating businesses and the HeroDeals experience.

HeroDeals may consider credible feedback when evaluating whether a business should remain in the network.

Nothing in these Terms is intended to prohibit a consumer from providing an honest review or honest assessment of their experience to the extent protected by applicable law.

HeroDeals may, however, address content or conduct that is fraudulent, unlawful, harassing, threatening, defamatory, knowingly false, invasive of privacy, infringes intellectual property or otherwise violates applicable law.

Hero Vouches and Shoutouts

Veterans, service members and military family members may vouch for a business on HeroDeals and may add a short comment, called a Hero Shoutout. A vouch or Shoutout is the personal opinion of the person who gave it. It is not a statement or endorsement by HeroDeals.

When you vouch for a business, you agree that your vouch is honest, based on your own real experience, and that you were not paid or given anything of value in exchange for it. Your first name, last initial, branch of service, comment and any photo you choose to add may be shown publicly on that business's profile. You may ask HeroDeals to remove your vouch at any time.

A Partner may not write, buy, trade for or fake a vouch, offer a discount or gift in exchange for a vouch, or pressure a hero to vouch. HeroDeals may verify, hide or remove any vouch or Shoutout it believes is false, paid, misleading or improper, and may remove a Partner who breaks this rule.

Vouch counts and Shoutouts belong to the HeroDeals profile. They do not transfer if a Partner leaves HeroDeals.

Calls, Text Messages and Email

If you contact HeroDeals, request communication, provide appropriate consent or otherwise communicate with HeroDeals, HeroDeals may respond by telephone, text message, email or another appropriate method.

Calls, voicemails and text messages with HeroDeals may be recorded, transcribed and stored, and may be handled in part by automated or AI systems, to help serve you and improve HeroDeals.

Message frequency may vary. Message and data rates may apply.

Consent to receive marketing text messages is not a condition of purchasing goods or services.

You may request that text messages stop by replying STOP or using another reasonable opt-out method recognized by applicable law.

Artificial Intelligence and Automation

HeroDeals may use artificial intelligence, automation and other technology to help manage inquiries, collect information, summarize conversations, route requests, send communications and support HeroDeals operations.

These systems are tools used to help operate the network. They do not change the independent nature of participating businesses or guarantee the accuracy of every automated response.

If information appears incorrect or you need Jesse's attention, contact HeroDeals and request assistance.

Accuracy of Information

You agree not to knowingly provide false, misleading or fraudulent information to HeroDeals.

Businesses and Partners are responsible for maintaining accurate information concerning their business, service area, qualifications, offers and contact information.

HeroDeals may rely on information supplied by users, businesses, Partners and third parties.

Although HeroDeals may take steps to evaluate information and relationships, HeroDeals does not guarantee that every piece of information supplied by a third party is complete, current or error-free.

Professional, Financial and Regulated Services

Some HeroDeals introductions may involve businesses operating in regulated industries, including mortgage, lending, real estate, insurance or other professional services.

Unless expressly stated otherwise, general information provided through HeroDeals is not individualized legal, tax, investment, medical, insurance, lending or other regulated professional advice.

Any regulated product or professional service is subject to the requirements, disclosures, qualifications, approvals and agreements of the independent licensed or authorized provider.

HeroDeals may decline, limit or set special terms for Partners in regulated industries, including real estate settlement services such as mortgage lending, real estate brokerage, title and settlement services, to comply with federal and state law, including the Real Estate Settlement Procedures Act (RESPA).

An introduction does not guarantee approval, qualification, pricing, terms or eligibility for any regulated product or service.

Privacy

Use of HeroDeals is also subject to the HeroDeals Privacy Policy .

The Privacy Policy explains how information may be collected, used, shared and protected.

Acceptable Use

You may use HeroDeals only for lawful purposes.

You may not use HeroDeals websites, communications, forms, systems or information to:

• Commit fraud or deception.
• Impersonate another person or business.
• Submit knowingly false information.
• Harass, threaten or abuse another person.
• Attempt unauthorized access to systems or information.
• Introduce malware, malicious code or harmful technology.
• Scrape, harvest or collect information for unauthorized purposes.
• Use HeroDeals information to create unauthorized marketing lists.
• Misrepresent an affiliation with HeroDeals.
• Use the HeroDeals name or brand in a deceptive manner.
• Violate another person's privacy, intellectual property or legal rights.
• Violate applicable law.

HeroDeals Intellectual Property

HeroDeals names, logos, designs, graphics, website content, written materials, original media, branding and other HeroDeals-created content may be protected by trademark, copyright or other intellectual property laws.

Except as expressly permitted by HeroDeals or applicable law, you may not copy, reproduce, modify, distribute, sell, license or commercially exploit HeroDeals intellectual property.

Participating Partners may receive limited permission to identify themselves as HeroDeals Partners or use approved HeroDeals branding, such as the Trusted Partner badge and milestone graphics, only while their plan is active and only as provided by HeroDeals. Any such permission is limited, revocable and subject to HeroDeals brand standards.

Ending Partner participation may also end permission to use HeroDeals Partner branding.

Third-Party Websites and Services

HeroDeals websites or communications may link to, reference or connect you with third-party websites, businesses, products or services.

HeroDeals does not control every third-party website, system, policy or service.

Your use of a third-party website or service may be governed by that third party's own terms, privacy policy and agreements.

Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, HERODEALS, ITS WEBSITE, NETWORK, CONTENT, COMMUNICATIONS, INTRODUCTIONS AND RELATED SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, HERODEALS DISCLAIMS WARRANTIES, REPRESENTATIONS AND CONDITIONS NOT EXPRESSLY STATED IN WRITING, WHETHER EXPRESS, IMPLIED OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT, TO THE EXTENT SUCH DISCLAIMERS ARE LEGALLY PERMITTED.

NOTHING IN THESE TERMS EXCLUDES A WARRANTY, RIGHT OR REMEDY THAT CANNOT LAWFULLY BE EXCLUDED.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, HERODEALS, JOHNSON-BROWER FINANCIAL GROUP LLC AND ITS OWNERS, OFFICERS, EMPLOYEES AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE OR CONSEQUENTIAL DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST BUSINESS OR LOST OPPORTUNITIES, ARISING FROM OR RELATING TO HERODEALS, AN INTRODUCTION, AN INDEPENDENT BUSINESS, A THIRD-PARTY PRODUCT OR SERVICE, OR THESE TERMS.

HERODEALS IS NOT RESPONSIBLE FOR THE ACTS, OMISSIONS, WORKMANSHIP, PRODUCTS, SERVICES, PRICES, CONTRACTS, REPRESENTATIONS OR LEGAL COMPLIANCE OF ANY INDEPENDENT BUSINESS OR PARTNER.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE TOTAL LIABILITY OF HERODEALS AND JOHNSON-BROWER FINANCIAL GROUP LLC FOR ANY CLAIM OF ANY KIND IS LIMITED TO: (A) FOR A PARTNER, THE LESSER OF THE PARTNER FEES YOU PAID IN THE 12 MONTHS BEFORE THE CLAIM OR $500; AND (B) FOR ANYONE ELSE, $100.

THESE LIMITS APPLY EVEN IF HERODEALS WAS TOLD THAT SUCH DAMAGES WERE POSSIBLE, AND APPLY ONLY TO THE EXTENT PERMITTED BY APPLICABLE LAW.

Indemnification

To the extent permitted by applicable law, businesses and Partners using HeroDeals agree to defend, indemnify and hold harmless HeroDeals, Johnson-Brower Financial Group LLC and its owners from and against claims, losses, liabilities, damages and reasonable costs arising from their own products, services, employees, representatives, misconduct, unlawful acts, breach of these Terms or violation of another person's rights.

Any separate written Partner agreement may contain additional indemnification obligations.

Suspension or Termination of Access

HeroDeals may restrict or terminate access to HeroDeals websites, systems, communications or network participation when reasonably necessary to protect HeroDeals, its users, Partners or others, or in response to suspected fraud, abuse, unlawful conduct or violation of these Terms.

Rights and obligations that by their nature should survive termination may continue after termination, including provisions concerning intellectual property, disclaimers, liability, indemnification, disputes and applicable law.

Governing Law

To the extent permitted by applicable law, these Terms and disputes concerning HeroDeals will be governed by the laws of the State of Michigan, without regard to conflict-of-law principles.

Nothing in this section eliminates any mandatory protection or right that applies under federal law or another applicable law and cannot legally be waived.

Resolving Disputes

If you have a concern about HeroDeals, an introduction or a Partner experience, contact HeroDeals first. You and HeroDeals agree to try in good faith to resolve it informally for at least 30 days.

If it is not resolved, any dispute arising from or relating to HeroDeals or these Terms will be resolved by final, binding arbitration on an individual basis, administered by the American Arbitration Association under its applicable rules, in Kent County, Michigan, or by video or phone if allowed. Either party may instead bring an individual claim in small claims court if it qualifies.

Class action waiver: claims may only be brought individually, not as a plaintiff or class member in any class, collective or representative action. You and HeroDeals waive the right to a jury trial to the extent permitted by law.

Any claim must be brought within one year after it arises, to the extent permitted by law.

Nothing in this section prevents anyone from contacting a government agency or exercising a right that cannot be waived by law.

Changes to These Terms

HeroDeals may update these Terms from time to time as the network, services, technology, business model or legal requirements change.

When these Terms are updated, the “Last Updated” date near the top of this page may be revised.

Material changes may also be communicated in another reasonable manner when appropriate or required by law.

Updated Terms will apply prospectively as permitted by law.

Entire Agreement and Separate Partner Agreements

These Terms, together with the HeroDeals Privacy Policy, SMS terms and any other terms expressly incorporated by reference, govern general use of HeroDeals.

A paid Partner may also enter into a separate written Partner agreement.

If a valid separate written Partner agreement contains terms that specifically conflict with these general Terms, the more specific written Partner agreement will control for that Partner relationship to the extent of the conflict.

Severability

If any provision of these Terms is determined to be invalid, unlawful or unenforceable, that provision will be interpreted or limited to the extent necessary to make it enforceable when legally permitted.

If it cannot be made enforceable, it may be severed without invalidating the remaining provisions of these Terms.

No Waiver

If HeroDeals does not immediately enforce a provision of these Terms, that does not necessarily mean HeroDeals has waived the right to enforce that provision later.
